Headroom is the margin between the level a signal normally runs at and the maximum a circuit can pass before clipping. More headroom means a module can handle louder peaks or added signals without distorting.
In a modular, mixing several signals or boosting one can use up headroom quickly, and DC offset eats into it as well.
